These Terms & Conditions ("Terms") govern your access to and use of the VDropify platform, websites, and related services (the "Service"), operated by Vetro Tech ("Vetro Tech", "we", "us"), trading as VDropify. By creating an account or otherwise using the Service, you agree to these Terms.

1. Who you are contracting with

When you use VDropify you enter into a binding agreement with Vetro Tech. If you use the Service on behalf of an organisation, you confirm that you have authority to bind that organisation, and "you" refers to both you and that organisation. If you are using the Service as an individual, you confirm that you are of legal age to enter into a contract in your jurisdiction.

2. The Service

VDropify is an AI-assisted platform for creating, hosting, and managing online stores. We may add, change, or remove features over time to improve the Service. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service within the plan you select and in accordance with these Terms.

3. Accounts and accuracy

You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. You must provide accurate information and keep it up to date. Notify us immediately of any unauthorised use of your account.

4. Acceptable use

You must not, and must not allow anyone else to:

• use the Service for unlawful, fraudulent, deceptive, or harmful purposes;
• send spam or unsolicited messages, or violate anti-spam laws;
• infringe any intellectual property, privacy, or other rights of third parties;
• upload malware or attempt to probe, scan, or breach the security of the Service;
• scrape, harvest, or reverse engineer the Service except where permitted by law;
• resell, sublicense, or redistribute the Service or circumvent any usage limits.

5. User content

You retain ownership of the content you upload or create through the Service. You grant Vetro Tech a limited, worldwide, non-exclusive licence to host, store, process, and display your content solely to provide and improve the Service. You represent that you have all rights necessary to share that content with us.

6. AI features

The Service includes AI-generated content such as text, images, and product descriptions. AI outputs may be inaccurate, incomplete, or unsuitable for a particular purpose and should not be relied upon as professional advice. You are responsible for the prompts you submit, the rights to any inputs you provide, the way you use outputs, and for reviewing outputs before publishing them. You must not use AI features to generate illegal content, deepfakes, hate speech, malware, content that infringes intellectual property, or to attempt to jailbreak or bypass safety controls. We may remove, restrict, refuse, or filter outputs and may suspend accounts for repeated or serious violations.

7. Intellectual property

The Service, including its software, design, documentation, and trademarks, is owned by Vetro Tech or its licensors and is protected by intellectual property laws. No rights are granted to you except as expressly set out in these Terms.

8. Payments and subscriptions

Subscription fees for the Service are charged by Vetro Tech and processed securely by our payment provider, Stripe. Stripe handles card data and processing; we do not store full payment card numbers on our servers. By providing payment details you authorise us, through Stripe, to charge your selected payment method for all amounts due.

Subscriptions renew automatically for successive billing periods at the then-current price unless cancelled before the renewal date from the Billing page inside your VDropify dashboard. Fees are payable in the currency shown at checkout and are exclusive of any applicable taxes, which we may collect where required by law. Refunds are governed by our Refund Policy.

9. Merchant payments to third parties

When you connect your own payment accounts (such as Stripe, PayPal, or WiPay) to receive payments from your end customers, those payments are processed by the relevant provider under their own terms. Vetro Tech is not a party to those transactions, does not handle your customers' funds, and is not responsible for chargebacks, payouts, or disputes arising from your storefront sales.

10. Service availability

We work to keep the Service reliable but do not guarantee that it will be uninterrupted, timely, secure, or error-free. We may perform maintenance, change, or discontinue parts of the Service from time to time.

11. Suspension and termination

We may suspend or terminate your access to the Service, in whole or in part, if:

• you materially breach these Terms or any acceptable-use rule;
• your account is overdue or your payment fails and is not cured promptly;
• we reasonably suspect fraud, abuse, or a security risk; or
• we are required to do so by law.

You may cancel your subscription at any time from the Billing page inside your VDropify dashboard. On termination, your right to use the Service ends. We will make your content available for a reasonable period for export, after which it may be deleted.

12. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of liability

To the fullest extent permitted by law, Vetro Tech will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business. Our aggregate liability arising out of or relating to the Service will not exceed the fees you paid to us for the Service in the twelve (12) months before the event giving rise to liability. Nothing in these Terms limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.

14. Indemnity

You agree to defend and indemnify Vetro Tech against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your content, your use of the Service in breach of these Terms, or your violation of any law or third-party right.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing law

These Terms are governed by the laws of the jurisdiction in which Vetro Tech is established, without regard to its conflict-of-law rules. Disputes will be resolved by the competent courts of that jurisdiction, unless mandatory consumer protection law in your country of residence provides otherwise.

17. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets. Neither party is liable for any delay or failure caused by events beyond reasonable control.
